This folder contains eight separate sections which provide directors with a practical guide to their duties and responsibilities as a director of a listed company in terms of the Listings Requirements of the JSE. The folder contains all the necessary terms, provides the necessary action the director needs to follow. The folders are personalised to include the company’s adopted board procedures and personalised for each individual director. CD-roms are included which provide necessary templates for directors.

The purpose of this brief guide is to serve as a user-friendly guide to highlight requirements in terms of legislation specifically dealing with directors’ duties and responsibilities. As an appointed director or public officer of a company, it is important to understand and be aware of the onerous responsibility and duty to comply. Failure to comply with legislation, or being unaware of the required duties and responsibilities could lead to huge consequences.

JSE brief guide to certain of the Listings Requirements

The JSE has, in association with PremCorp, developed a brief guide for companies on the Listings Requirements of the JSE. The document provides guidance on five “hot topics” and includes a chapter on the most frequently asked questions. Companies may order copies of these guides from PremCorp.
